DISCLAIMER: Educational content, not legal/tax advice. CIT/PIT/ZUS rules state 2026. Consult advisor. Estonian CIT - conditions of losing lump.

You have 300,000 PLN (~75k USD) profit from trading annually. On JDG on progressive scale you will pay 32% PIT + 4% health + ZUS. On flat 19% + health 4.9% + ZUS. On lump sum 15% (financial services?) + ZUS. In LLC on CIT 9%/19% + dividend 19%. In Estonian 0% until distribution. Difference between worst and best option is 60,000-80,000 PLN (~15-20k USD) yearly. This lesson is calculator you must go through.

1. Why does it matter for a trader?

Because trading can be:

  • Your private capital - PIT-38, no ZUS, no JDG - simplest if you trade your own money.
  • B2B service - if you manage others’ capital, educate, sell signals, algos, then JDG/LLC makes sense.
  • Business activity - KIS considers that if trading is your main occupation, organized, continuous, you can be considered entrepreneur despite PIT-38. Risk.

Key: trading your own private capital is NOT business activity per PIT (private property). But if you have office, algos for sale, manage client’s account for success fee - you enter JDG.

This module for those who already have JDG or think about JDG for trading or have additional trading services.

2. JDG - 3 taxation forms

a) Scale 12%/32% (general rules)

  • Tax-free 30k (2026), threshold 120k.
  • Full ZUS: social approx 1,600-1,800 PLN/month + health 9% of income.
  • For small B2B profits up to ~120k + employment - may be ok.
  • For trader with high profit - killer via second threshold and uncapped health.

b) Flat 19%

  • Constant 19% no tax-free.
  • Full ZUS, health 4.9% of income (min 270 PLN, no upper cap from 2022).
  • For 300k profit: 57k PIT + 14.7k health + 21k ZUS ~92.7k = 30.9% effective, but without 32%.
  • Possibility to deduct costs: equipment, office, TradingView, accountant, part of car, internet.

c) Lump sum recorded

  • Rates: 15% for financial services (?) - dispute here. KIS interpretations for trading B2B: if advisory, analysis - 15%. If programming algos - 8.5% or 12%. If education - 8.5%.
  • Full ZUS, health lump ~400-700 PLN/month depending on revenue (thresholds).
  • You DON’T deduct costs (except ZUS).
  • Revenue limit 2M EUR yearly.

When does JDG make sense for trader?

  • You have B2B services (signals, education, prop trading)
  • You can include costs (3 monitors, computer 15k, office 2k/month)
  • You want ZUS (because e.g., need sick leave, pension)
  • Profit <200k yearly and many costs

3. Classic LLC

  • CIT 9% if revenue <2M EUR and you are small taxpayer, otherwise 19%
  • Then dividend: 19% PIT on dividend
  • ZUS: you pay only if you employed in your own LLC on employment contract/B2B. President alone on appointment - no ZUS (only health if paid appointment).
  • You can withdraw via appointment / management contract.

Effective formula classic:

Effective (classic) = CIT + (Profit - CIT) × 19% dividend tax, all divided by Profit.

For 9% CIT: (9% + 91%*19%)/100 = 9%+17.29%=26.29% For 19% CIT: 19%+15.39%=34.39%

So classic LLC with dividend is MORE EXPENSIVE than JDG flat 19%+4.9% =23.9% + ZUS? But you have private asset protection and optimizations (car, costs).

4. Estonian CIT - game changer, but…

Rule: 0% as long as you don’t distribute profit. Only distribution = lump.

Estonian rates since 2022:

  • Small taxpayer and start-up: 10% CIT on distributed profit
  • Large: 20%
  • Then partner pays PIT on dividend, but 90% CIT creditable: effectively for small: 10% CIT + (90% profit *19% but with deduction) = approx ~20% effectively

Simplified ministry formula:

Effective_(Estonian, small = 10% + ((100% - 10%) × (19% - 90% × 10% / 90%?)

Simplify: According to MF: for small taxpayer effective burden of dividend is about 20% (10% CIT +10% PIT because 90% deduction). For large: 20% CIT + about 5% PIT = ~25%.

Conditions of Estonian (2026):

  • Passive revenue <50% (so trading may be problem if it’s only company revenue - need other services, or structure)
  • Employment: min 3 people (employment contract, min 3x avg? or 1 partner + expenses). Since 2023 eased: can 3 people on mandate but min.
  • Not be in SSE, not be financial institution (trading LLC may be considered financial - risk!)
  • Revenue <100M PLN (proposed raise)
  • Keep accounting and reports

Trap: Company whose only activity is trading own capital (buy/sell shares for itself) may not qualify for Estonian as financial activity and passive revenue >50% - then you lose right and return to classic CIT with arrears.

When Estonian makes sense?

  • You have operating company (SaaS, e-commerce, trading education) that generates profits and reinvests
  • You don’t withdraw 3-5 years, reinvest in growth
  • You have what to reinvest (employment, equipment)

When not?

  • Only model is trading own capital and you want to withdraw quarterly
  • You have no employees / costs
  • You have <150k profit - accounting costs of Estonian 500-800 PLN/month will eat profit

5. Numeric comparisons - Effective Tax Table

Assume profit 300,000 PLN (~75k USD) gross before tax, operating costs 30,000 PLN, one person.

Effective_tax = ((CIT + Dividend_tax + ZUS + Health)/Gross_Revenue × 100%

6. How to apply in practice - case studies

Case A: Employment 120k + private trading 80k (stocks)

  • Don’t set up JDG. Private trading on PIT-38.
  • Tax 80k*19%=15.2k.
  • If on JDG flat: 80k*19% + ZUS 20k + health =40k. Nonsense.

Case B: Freelancer - sale of signals + trading own capital, 200k yearly (100k signals, 100k private trading)

  • Signals on JDG lump 15% =15k, ZUS 20k, health 7k =42k, private trading PIT-38 19k.
  • Total 61k.
  • On flat: signals 100k-30k costs=70k*19%=13.3k + private trading 19k + ZUS 20k+health=33k →65.3k. Lump better.

Case C: Full time trader, 500k profit yearly, no employment

  • JDG flat: income 470k (after 30k costs), PIT 89.3k + ZUS 20k + health 23k =132.3k, effectively 26.5%
  • LLC Estonian: 0% if you don’t withdraw, reinvest in algos, office, team. After 2 years withdraw 500k, effective ~20% =100k. Saving 32k yearly, but accounting costs 12k and employing 3 people.

7. Beginner mistakes

  1. JDG for private trading - you set up JDG and think you will put shares on JDG. No - private shares still PIT-38, not JDG.
  2. Estonian without employees - you lose right, surcharge.
  3. Lump without rate verification - 15% vs 8.5% - wrong rate = correction.
  4. Costs in Estonian - in Estonian there are no tax costs, but accounting you must have them for KAS and balance.
  5. Car in JDG and trading - tax office asks: what relation with trading? You must prove.
  6. No ZUS - you don’t pay ZUS in LLC but forget health from appointment or ZUS with employment.

8. Practical exercises

Ex 1: Calculate effective tax for 120k gross, JDG flat costs 20k vs lump 15% vs LLC 9%.

Ex 2: Check if your activity: trading advisory qualifies as 15% or 8.5% lump - look for KIS interpretation “PKWiU 66.19”.

Ex 3: Simulate Estonian: profit 400k, reinvestment 3 years, withdrawal in year 4. Calculate NPV savings vs flat, assuming 5% inflation.

9. Checklist

  • I calculated yearly ZUS for JDG 2026 (check zus.pl)
  • Checked lump rate for my PKWiU
  • Calculated effective tax for 3 scenarios (scale/flat/lump) on my profit
  • Checked Estonian conditions: 3 employees, <50% passive
  • Consulted advisor if trading own capital in LLC is passive revenue
  • Have simulation LLC vs JDG for 3 years with accounting costs

10. Summary and Next Steps

  • Private trading -> PIT-38, not JDG.
  • Trading services -> JDG: flat if many costs, lump if low costs and high margin.
  • Classic LLC effectively 26-34%, but asset protection.
  • Estonian 20-25% at withdrawal, 0% at reinvestment, but employment and passive conditions.

Formula to remember:

Effective_(JDG_flat = 19% + 4.9%(health + (ZUS(yearly/Profit

Effective_{LLC} = 9\% + 19\% × (1-9\%)
