Introduction: Why a company in Dubai for 10k USD can cost you 300k PLN?

On YouTube you see: “Set up a company in UAE, 0% tax, live in Poland”. Sounds beautiful. Reality: if you have tax residency in PL, management in PL, clients in PL and no substance in UAE, you fall into CFC (Controlled Foreign Corporation). You must pay 19% CIT in PL on income of UAE company, plus no costs, plus surcharge for management in PL. It’s a trap that already cost hundreds of Polish traders 100-300k PLN. This lesson is a mine map.

1. Why it matters for trader?

Because tax residency of company ≠ place of registration. You can have company in UAE, but if management is in PL, KAS will consider it Polish resident (art.3 CIT - management). Or CFC and you tax income in PL despite no dividend.

CFC Definition (art. 24a CIT): Foreign company controlled by Polish resident, which:

  • Has seat in tax haven (black list) OR
  • Has effective <50% average EU CIT rate (i.e. <~11% - UAE 0-9% falls in) OR
  • 33% revenues are passive (dividends, interest, royalties, trading?) and < real business activity.

If you are CFC -> you pay 19% in PL on income of foreign company proportionally to shares, already in year of income achievement, not waiting for dividend.

Tax_(CFC = 19% × Income_(CFC × % Share_(PL

2. CFC - when fall? 3 tests

Test 1: Control

  • You own >50% shares, votes, profit, directly or indirectly, or are related.

Test 2: Low tax

  • Country has rate 0% (UAE until 2023, now 9% above 102k USD) or <50% PL rate 19% = <9.5%. UAE 0-9% borderline. Cyprus 12.5% - does not fall (above 9.5%), but may fall if passive. Estonia 0% until distribution, but nominal rate 20%/22% - not low tax, but falls via passive.

Test 3: Passive revenue >33%

  • Dividends, interest, royalties, disposal of shares, revenue from financial instruments, insurance, banking.
  • Trading stocks/crypto may be considered passive revenue from financial instruments - KIS 2024: “revenues from trading financial instruments are passive CFC revenues”.

If you meet control + (low tax OR passive >33%) + no real business activity (substance) -> CFC.

Exemptions:

  • Real business activity (substance) in EU/EEA: office, employees, management there, costs.
  • Revenue <2.5M EUR and passive <10%

3. ATAD and substance

ATAD Directive (Anti Tax Avoidance Directive) implemented in PL:

  • CFC (ATAD art.7,8)
  • Exit tax
  • Financing costs limitation
  • General Anti-Avoidance Clause (GAAR)

Substance - what you need in 2026 to defend company:

Substance ElementMinimum for EU (Estonia, Cyprus)Minimum for UAE
Physical officeLease agreement, not virtualEjari, office in free zone
Employee / resident directorResident director + local accountantDirector, min 1 employee
Management decisions thereBoard minutes from Estonia/Cyprus, flightsBoard meetings in UAE
Bank accountsLocal bankLocal bank + audit
Operating costs>10% revenue locally>10% revenue locally
Website, local clientsProof of clients in regionProof of activity in UAE

Without that - shelter, not substance - GAAR and CFC.

4. Estonia, Cyprus, UAE - deep comparison

CountryCITDividendConditions for traderSubstanceYearly costCFC risk PLFor whom
Estonia OÜ0% until distribution, 20%/22% at distribution (20% small, 22% from 2025 new)0% WHT if EU residentPassive revenue >33%? Trading may be passiveE-residency office + contact - weak, need substance service3k EUR accounting + e-residency 100 EUR + substance 2-6k EURMedium - if no employees and only trading, may CFCSaaS, IT, reinvestments
Cyprus LTD12.5% (from 2024 17% for some, but trading 12.5%)0% WHT for PL if min 10% share >2 years per treaty, else 10%Trading as financial activity - need license? Without license riskyCypriot director, office, secretary5-8k EURLow - rate >9.5%, but passive may CFCHolding, SaaS, real business
UAE Free Zone (IFZA, DMCC)0% up to 102k USD (375k AED) profit, 9% above0% WHT0% personal if UAE resident, but PL resident - CFCOffice, Ejari, visa, audit, ESR, UBO10-15k USD setup + 8-12k USD yearly + audit 3k USDHigh - if you live in PL and manage from PLOnly if you live in UAE 183 days+

Effective formulas

Estonia small 20% at distribution: Effective_(EE = 20%(CIT + PIT(PL, dividend (90% deduction) ≈ 20% - 25%

Cyprus 12.5% + dividend 0% WHT + 19% PL but credit: Effective_(CY = 12.5% + (1-12.5%) × 19% × (1-credit?) ≈ 25-29%

UAE 0% but CFC 19% in PL:

Effective_{UAE+CFC} = 19\%_{CFC} + 19\%_{dividend?} But CFC already taxed, dividend exempt? Complex, but effectively 19\% + substance costs

If CFC: you pay 19% in PL immediately, no 0%.

5. Decision table - When sensible vs trap

Trader ScenarioForeign makes sense? Why / Trap
Live in PL 300 days, trading own account 500k profit, want UAE 0%NO - TRAPManagement in PL = PL residency of company + CFC. 19% + interest + 70% GAAR sanction
Live in UAE 200 days, have Emirates ID, office, trading, global clientsYES - SENSIBLEPersonal residency UAE, TI breakthrough, substance real. But must exit PL residency (183 days + center)
SaaS 1M PLN revenue + trading 200k as treasury in Estonia OÜ, 3 employees in Tallinn, officeYES - SENSIBLEReal activity, trading as liquidity management, <33% passive? Disputed but defensible
Company Cyprus trading 100% revenue, director Cyprus but you make decisions from PL via Zoom, no Cypriot clientsNO - TRAPNo substance, actual management in PL, CFC via passive
Holding Cyprus -> LLC PL operating, holding only dividends, director Cyprus, auditYES - SENSIBLE but complicatedHolding makes sense for exit 0% on Cyprus, but costs high 50k EUR yearly, sense >5M exit

6. How to apply in practice

If thinking about foreign, ask 5 questions:

  1. Where is my center of vital interests? (family, home, doctor, gym) - if PL, then PL residency.
  2. Where do I make management decisions? (if from laptop in PL, then PL management)
  3. How much does substance cost really? (Estonia 5k EUR, Cyprus 12k EUR, UAE 15k USD yearly)
  4. Is my revenue passive per CFC? (if trading >33% then yes)
  5. Do I have exit >5M? If not, foreign costs eat savings.

Alternative for small trader: IP BOX? No. Estonian PL? Yes, often better than foreign.

7. Market example

Case: Marek 38 years, 800k trading profit + SaaS 400k, considers UAE

Option A: Stay in PL, LLC Estonian PL: Profit 1.2M, reinvest 2 years, withdraw 500k, effective 20% =100k tax, costs 20k.

Option B: UAE, relocation 200 days, costs: setup 12k USD, substance 12k USD yearly, audit 3k USD, flights 5k USD, flat 24k USD. Total 56k USD ~224k PLN yearly. Tax 0% UAE, but must break PL residency (sell flat? family?). Effective 0% + costs 224k. vs PL 100k tax. UAE more expensive!

Break even at 2M profit.

8. Beginner mistakes

  1. “Company in UAE = no CFC because I have UAE residency” - if you still have home in PL, family, PL will deem you PL resident and CFC.
  2. Nominee director without substance - from 2024 KAS ignores nominee, looks at actual.
  3. E-residency Estonia = tax residency - No! E-residency is only signature, not tax residency.
  4. No CFC reporting - if you are CFC, you must file CIT-CFC by end of 9 months after year. No = 50% sanction.
  5. Trading in foreign company without license - trading company may be considered financial institution and requires IFSA license.
  6. PL-UAE treaty: no DTT? It exists, but UAE does not exchange info so willingly, but from 2023 exchanges CRS.

9. Practical exercises

Ex 1: Calculate CFC: You have 80% of UAE company, company profit 500k AED (approx 520k PLN), UAE rate 0% (below threshold). What CFC tax in PL?

Solution: 500k *19% *80% =76k PLN CFC + then dividend exempt from CFC but PIT?

Ex 2: Check PL haven list (MF regulation). Are Estonia, Cyprus, UAE on list? UAE was, but from 2023 conditionally? Check for 2026 (variable).

Ex 3: Write 1-page substance analysis for your potential Estonia OÜ: office, employees, decisions.

10. Checklist

  • Checked if country is on black list of havens MF
  • Calculated if my revenues are >33% passive per art.24a
  • Valued substance: office, resident director, accounting, audit
  • Checked 183 days personal residency + center of interests
  • Consultation with CFC advisor (cost 500-1500 PLN but saves 100k)
  • Have plan B: Estonian PL vs foreign
  • Know I must file CIT-CFC and UBO registration in given country

Summary

  • Foreign company without relocation and substance = CFC 19% + risk of management in PL.
  • Estonia 0% until distribution, but trading as passive = CFC risk if only trading.
  • Cyprus 12.5% - safest from EU if real activity.
  • UAE 0-9% - sense only with real relocation and >1.5M profit.
Decision = (Tax_saving - Substance_cost - Risk_CFC × Penalty) > 0 ?

If not >0, stay in PL on Estonian.

Next: Lesson 06 - Accounting records for accountant, folders and 3 registers. Concrete that will allow you to defend each settlement before tax office.
